Privacy Policy

Paradocket LLC
TERMS OF USE

These Terms of Use (these “Terms”) constitute a legally binding agreement between Paradocket LLC, a Texas limited liability company (“Paradocket,” “we,” “us,” or “our”), with its principal place of business at 3005 S. Lamar Blvd., Ste. D109-85, Austin, TX 78704, and the entity or individual accessing or using the Service (“Customer,” “you,” or “your”). These Terms govern your access to and use of Paradocket’s software-as-a-service platform, including all related websites, applications, features, and functionality (collectively, the “Service”). By creating an account, clicking “I Accept,” or otherwise accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, law firm, or other legal entity, you represent that you have the authority to bind that entity, and “Customer” refers to that entity. If you do not agree to these Terms, you may not access or use the Service.

1. Description of the Service

Paradocket provides a software platform designed to automate workflow tasks for legal professionals, with a particular focus on paralegal support functions used by intellectual property law firms and other legal practices. The Service monitors and manages email correspondence associated with designated matters, including by identifying and tracking changes to email recipients, senders, and other correspondence metadata so that Customer’s contact lists and matter records remain current and accurate. The Service may also include related workflow automation, docketing support, matter organization, and reporting features made available by Paradocket from time to time.

The Service is designed primarily for use by law firms and other legal services providers. However, the underlying correspondence-monitoring and contact-management functionality is also useful outside the legal industry, and Paradocket makes the Service available to other business customers for analogous workflows. References in these Terms to “matters,” “clients,” or similar legal-industry terminology should be read to include the corresponding concepts used by non-legal Customers (for example, “projects” or “accounts” and their associated contacts), as applicable.

Paradocket may modify, update, add to, or discontinue features of the Service at any time. We will use commercially reasonable efforts to provide notice of any material reduction in functionality but are not obligated to do so for minor changes.

2. No Legal or Professional Advice; No Attorney-Client Relationship

Paradocket is not a law firm and does not provide legal, tax or other professional advice, opinions, or representation of any kind. Use of the Service does not create an attorney-client relationship between Paradocket and Customer or any third party. Customer remains solely responsible for the accuracy, completeness, and legal sufficiency of any correspondence, contact information, docket entries, deadlines, or other work product managed, generated, or affected by the Service, and for exercising independent professional judgment in all matters. Paradocket disclaims any responsibility for legal outcomes, missed deadlines, or communications errors.

3. Eligibility and Account Registration; Responsibility for Your Authorized Users

The Service is intended primarily for use by law firms and other legal services providers, though it is also made available to other business customers acting in a professional capacity. The Service is not directed to or intended for use by individual consumers for personal, family, or household purposes. To use the Service, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify Paradocket promptly at the contact information below of any unauthorized use of your account or any other suspected security breach.

You are also responsible for ensuring that each individual user you authorize to access the Service (“Authorized User”) complies with these Terms, and you are responsible for the acts and omissions of its Authorized Users as if they were Customer’s own.

4. Subscription Plans, Fees, and Payment

Access to the Service is provided on a subscription basis as described in the applicable order form, plan description, or online checkout process (an “Order”). Except as otherwise stated in an Order, fees are billed in advance on a recurring basis and are non-refundable. Paradocket may change subscription fees upon at least thirty (30) days’ prior notice, with the new fees taking effect at the start of the next renewal term. Customer is responsible for all applicable taxes, other than taxes based on Paradocket’s net income. If Customer’s payment method fails or an invoice is not paid when due, Paradocket may suspend access to the Service after providing reasonable notice, in addition to any other remedies available to Paradocket. Unless otherwise specified in an Order, subscriptions renew automatically for successive terms equal to the initial subscription term unless either party gives notice of non-renewal at least thirty (30) days before the end of the then-current term.

5. Customer Data; Email Access and Monitoring

In order to provide the Service, Paradocket requires access to certain email accounts, correspondence, contact records, and related metadata that Customer designates or connects for use with the Service, along with any other information Customer or its Authorized Users submit to or through the Service (collectively, “Customer Data”). For Customers that are law firms or other legal services providers, Customer Data may include information relating to legal matters handled by Customer, including client and third-party contact information, and, in some cases, information protected by the attorney-client privilege, the work-product doctrine, or other confidentiality obligations. For other business Customers, Customer Data may include comparable business correspondence, contact records, and related confidential business information.

Customer’s responsibility for authorization. Customer represents and warrants that it has all rights, consents, and authorizations necessary (including, where applicable, client or customer consent) to grant Paradocket access to the email accounts and Customer Data connected to the Service, and that such access and Paradocket’s processing of Customer Data as described in these Terms and Paradocket’s Privacy Policy will not violate any applicable law, professional conduct rule, contractual obligation, or third-party right.

As between the parties, Customer retains all right, title, and interest in and to Customer Data. Customer grants Paradocket a non-exclusive, worldwide, royalty-free, fully paid-up, sublicensable license to access, host, store, process, transmit, reproduce, and display Customer Data, and to use, copy, and create derivative works of Customer Data, in each case to (i) provide, maintain, and support the Service, (ii) monitor and track changes to email recipients and related contact information as part of the Service’s core functionality, (iii) operate, develop, train, test, and improve the Service and Paradocket’s other current and future products, features, and functionality, including machine-learning, artificial intelligence, and other automated models and technologies (collectively, “Paradocket Technology”), whether or not the Customer Data used for that purpose is de-identified or aggregated, and (iv) comply with applicable law.

Paradocket will not sell Customer Data. Paradocket will not use Customer Data to train or improve any generative artificial intelligence model that Paradocket makes generally available to the public or licenses to third parties outside of Paradocket’s corporate family, and will not use Customer Data in any manner that discloses Customer Data, in identifiable form, to other customers of the Service. Subject to the foregoing, Paradocket may use Customer Data as described in this Section 5 and in Paradocket’s Privacy Policy. Where required by applicable law or by a separately executed data processing agreement between the parties, Paradocket will process personal information in accordance with the terms of that agreement, which is incorporated into these Terms by reference.

6. Confidentiality and Professional Responsibility

Paradocket understands that Customer Data may include confidential and, for law firm Customers, privileged client information. Paradocket will maintain administrative, technical, and physical safeguards designed to protect the confidentiality, integrity, and security of Customer Data, consistent with industry-standard practices for software handling sensitive legal and business information. To the extent Customer is a law firm, corporate legal department, or other legal services provider, Customer acknowledges that it remains solely responsible for compliance with all professional responsibility and ethical obligations applicable to its practice, including any applicable rules of professional conduct governing the use of third-party technology vendors, safeguarding of client confidences, and supervision of nonlawyer service providers. Nothing in these Terms relieves any such Customer of those obligations, and Customer is responsible for determining whether and how the Service may be used consistently with such obligations, including obtaining any client consents or informed waivers that may be required. All Customers, regardless of industry, remain responsible for complying with the confidentiality, data protection, and other laws and contractual obligations applicable to the information they submit to the Service.

Each party may have access to non-public business, technical, or other information of the other party that is designated confidential or that reasonably should be understood to be confidential given its nature (“Confidential Information”). Each party agrees to use the other party’s Confidential Information solely to perform its obligations or exercise its rights under these Terms, and to protect it using at least the same degree of care it uses for its own confidential information of similar importance, but no less than a reasonable degree of care. This Section does not apply to information that the recipient proves is or becomes public through no fault of the receiving party, was rightfully known to the receiving party without restriction before disclosure, or is independently developed without use of the disclosing party’s Confidential Information.

7. Data Security

Paradocket will implement and maintain commercially reasonable technical and organizational measures designed to protect Customer Data against unauthorized access, disclosure, alteration, or destruction. If Paradocket becomes aware of unauthorized access to Customer Data that compromises its confidentiality or integrity, Paradocket will notify Customer without undue delay and will cooperate with Customer’s reasonable requests in connection with investigating and remediating the incident, subject to any legal restrictions on disclosure. No method of transmission or storage is completely secure, and Paradocket cannot guarantee absolute security of Customer Data.

8. Intellectual Property Rights

The Service, including all software, technology, designs, workflows, text, graphics, and other content provided by Paradocket (excluding Customer Data), and all intellectual property rights therein, are and will remain the exclusive property of Paradocket and its licensors. These Terms do not grant Customer any rights to Paradocket’s trademarks, logos, or brand features. Subject to Customer’s compliance with these Terms and payment of all amounts owing to Paradocket by Customer when due, Paradocket grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during the applicable subscription term solely for Customer’s internal business purposes.

Customer may submit suggestions, feedback, or other input regarding the Service (“Feedback”). Customer grants Paradocket a perpetual, irrevocable, royalty-free license to use and incorporate Feedback into the Service without any obligation or compensation to Customer.

9. Acceptable Use

Customer will not, and will not permit any Authorized User or third party to:

  1. use the Service to violate any applicable law, regulation, or third-party right, including any rule of professional conduct;

  2. access email accounts, correspondence, or contact information through the Service without proper authorization;

  3. reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent such restriction is prohibited by applicable law;

  4. interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to the Service or its related systems;

  5. resell, sublicense, rent, lease, or otherwise make the Service available to any third party outside of Customer’s own organization without Paradocket’s prior written consent; or

  6. use the Service to transmit any material that is unlawful, defamatory, or infringing of a third party’s intellectual property or privacy rights.

10. Third-Party Services and Integrations

The Service may integrate with or allow connections to third-party email providers, calendar systems, practice management tools, or other third-party services (“Third-Party Services”). Paradocket is not responsible for the availability, accuracy, or performance of Third-Party Services, and Customer’s use of any Third-Party Service is governed by the terms and privacy policies of the applicable third party. Customer is responsible for maintaining any accounts or authorizations required to connect Third-Party Services to the Service.

11. Term and Termination

These Terms remain in effect for as long as Customer maintains an active subscription to the Service or otherwise accesses the Service. Either party may terminate these Terms if the other party materially breaches these Terms and fails to cure the breach within thirty (30) days after written notice. Paradocket may suspend or terminate Customer’s access to the Service immediately if Customer’s use poses a security risk, may expose Paradocket to liability, or is fraudulent or unlawful. Upon termination or expiration of these Terms, Customer’s right to access the Service will immediately cease. Upon Customer’s written request made within thirty (30) days after termination, Paradocket will make available for export a copy of Customer Data in a standard format, after which Paradocket may delete Customer Data from its systems in accordance with its data retention practices, except as required to be retained by applicable law. Sections 2, 6, 8, 13, 14, 15, and 17 will survive any termination or expiration of these Terms.

12. Disclaimer of Warranties and Reliance.

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OR REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PARADOCKET DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT IT WILL DETECT OR CORRECT EVERY CHANGE TO EMAIL RECIPIENTS OR CONTACT INFORMATION. CUSTOMER IS SOLELY RESPONSIBLE FOR INDEPENDENTLY VERIFYING ANY INFORMATION GENERATED OR FLAGGED BY THE SERVICE BEFORE RELYING ON IT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN OR IN ANY AGREEMENT BETWEEN THE PARTIES, AND AS A MATERIAL CONDITION TO PARADOCKET PROVIDING THE SERVICE:  (A) no members, managers, owners, officers, directors, employees, and agents of Paradocket shall have any personal liability for any obligations of Paradocket, (B) NEITHER PARADOCKET NOR any of its members, managers, owners, officers, directors, employees, and agents SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; and (c) THE TOTAL AGGREGATE LIABILITY OF PARADOCKET TOGETHER WITH ITS members, managers, owners, officers, directors, employees, and agents (TO THE EXTENT THE FOREGOING LIMITATIONS OF THEIR LIABILITY ARE HELD UNENFORCEABLE) ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER TO PARADOCKET FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

14. Indemnification

Customer will defend, indemnify, and hold harmless Paradocket and its members, managers, officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Customer Data, including any claim that Paradocket’s receipt, storage, or processing of Customer Data as authorized by Customer violates a third party’s rights or any applicable law or professional conduct rule; (b) Customer’s or any Authorized User’s use of the Service in violation of these Terms or applicable law; or (c) Customer’s breach of its representations in Section 5; provided, however, an indemnitee shall not be entitled to indemnification under this paragraph to the extent the claims OR LIABILITIES in question arise from the indemnitee’s own gross negligence or willful misconduct as determined by a final arbitration award rendered in accordance with these Terms.

15. Governing Law; Dispute Resolution; Jury Trial and Class Action Waivers

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles.

Venue. Subject to the arbitration agreement below, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Travis County, Texas, for any dispute or proceeding not subject to arbitration.

Arbitration. Except for claims for injunctive or equitable relief or claims regarding intellectual property rights, any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered under the commercial arbitration rules of the American Arbitration Association, conducted in Travis County, Texas, by a single arbitrator. Judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver. THE PARTIES AGREE THAT ANY PROCEEDING TO RESOLVE A DISPUTE, WHETHER IN ARBITRATION OR IN COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, COLLECTIVE, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION. The arbitrator (or court, as applicable) may not consolidate more than one party’s claims and may not otherwise preside over any form of a class, consolidated, or representative proceeding. If a court or arbitrator determines that this class action waiver is unenforceable as to a particular claim or request for relief, that claim or request for relief must be brought in court and severed from any arbitration, and all other claims will remain subject to arbitration.

Jury Trial Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY IRREVOCABLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED IN CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY. THIS WAIVER APPLIES TO ANY DISPUTE THAT IS LITIGATED IN COURT RATHER THAN RESOLVED BY ARBITRATION, INCLUDING ANY CLAIM FOR INJUNCTIVE OR EQUITABLE RELIEF OR ANY CLAIM RELATING TO INTELLECTUAL PROPERTY RIGHTS THAT IS EXCLUDED FROM ARBITRATION UNDER THESE TERMS. EACH PARTY REPRESENTS THAT IT HAS HAD THE OPPORTUNITY TO CONSULT WITH COUNSEL REGARDING THIS WAIVER AND ENTERS INTO IT KNOWINGLY AND VOLUNTARILY.

16. Modifications to These Terms

Paradocket may update these Terms from time to time. If Paradocket makes material changes, it will provide notice by posting the updated Terms on the Service or by emailing the address associated with Customer’s account, at least fifteen (15) days before the changes take effect. Continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes. If Customer does not agree to the updated Terms, Customer’s sole remedy is to stop using the Service and terminate its subscription.

17. General Provisions

Assignment. Customer may not assign or transfer these Terms without Paradocket’s prior written consent, except to a successor in connection with a merger, acquisition, or sale of substantially all of its assets. Paradocket may assign these Terms without restriction. Any attempted assignment in violation of this Section is void.

Force majeure. Neither party will be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disaster, war, terrorism, labor disputes, internet or utility failures, or governmental action; provided, however, this provision shall not excuse or delay any obligation of a party to make any payment owing to the other.

Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

Waiver. No waiver of any provision of these Terms will be effective unless in writing, and no failure or delay in enforcing any provision will operate as a waiver of future enforcement.

Entire agreement. These Terms, together with any Order, the Privacy Policy, and any data processing agreement executed by the parties, constitute the entire agreement between the parties regarding the Service and supersede all prior or contemporaneous agreements or communications, whether written or oral, regarding the subject matter herein.

Notices. Notices to Paradocket must be sent to the address below or to such other address as Paradocket designates. Notices to Customer may be sent to the email address associated with Customer’s account.

Relationship of the parties. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, employment, fiduciary or other special relationship between the parties.
